1. About these terms

These Terms and Conditions govern your use of the Subsetech website and the services provided by Subsequent Technologies Ltd ("Subsetech", "we", "us"). By using our website or engaging our services, you agree to these terms.

If you enter into a separate written agreement with us for a project, that agreement takes precedence over these terms where they conflict.

2. Our services

We provide software development, website development, mobile app development (Android and iOS), AI system integration, and the sale, deployment and maintenance of our ready-made software systems. We also provide training and coaching services, including technology and software training, productivity tools training, CV building and career coaching.

The scope, timeline and price of any project are agreed with you in writing before work begins. Changes to scope may affect price and delivery dates.

3. Quotes, payment and invoicing

Quotes are valid for 30 days unless stated otherwise. Projects typically require an upfront deposit before work starts, with the balance payable at agreed milestones or on completion.

Invoices are payable by the due date shown on them. We may pause work on a project while invoices remain overdue. Late payments may incur interest at the rate permitted by applicable law.

All fees are exclusive of applicable taxes unless stated otherwise.

4. Client responsibilities

You agree to provide accurate information, timely feedback, and any content, access or materials reasonably needed for your project. Delays in providing these may extend delivery dates.

You confirm that any material you supply to us (text, images, logos, data) is yours to use and does not infringe anyone else's rights.

5. Intellectual property

Unless agreed otherwise in writing, full ownership of custom work we build for you transfers to you once we have received payment in full. Until then, all work remains our property.

We retain ownership of our pre-existing tools, frameworks, ready-made systems and know-how. Where these are used in your project, you receive a licence to use them as part of your delivered product.

Our own products and platforms (including MusicProcess, Ticdex, HelloBNS, AutoAiRadio, GetCX247, Bitcobo, UniversTrack, ReelForge Studio, SharpSharp GH, 4JoyTV and AllyKnows) remain our exclusive property.

6. Ready-made systems and licensing

Where you purchase or subscribe to one of our ready-made systems, your use is governed by the applicable licence and our Software Terms of Use. Licences are non-transferable unless we agree otherwise in writing.

Maintenance and support are provided as described in your order or subscription. We may update our systems to improve security, performance and features.

7. Training and coaching

Training and coaching sessions are booked in advance. Cancellations or rescheduling require at least 48 hours' notice, otherwise the session may be charged in full.

Training materials we provide are for your personal or internal business use and may not be resold or redistributed.

8. Warranties and liability

We will provide our services with reasonable skill and care. We do not warrant that software will be entirely error-free or uninterrupted.

To the extent permitted by law, we are not liable for indirect or consequential losses, loss of profit, or loss of data. Our total liability for any claim arising from a project is limited to the fees you paid us for that project in the 12 months before the claim.

Nothing in these terms excludes liability that cannot be excluded by law.

9. Confidentiality

We keep your non-public business information confidential and expect the same in return for our confidential information. This obligation continues after a project ends.

10. Termination

Either party may end a project engagement by written notice. You pay for work completed up to the termination date, including any non-refundable deposits.

11. Changes to these terms

We may update these terms from time to time. The version published on this page applies to new engagements from its publication date.
